Delivery Services<\/strong><\/span><\/p>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif"><strong>Ate All&nbsp;<\/strong>connects third-party service providers (pick-up and delivery partners, &quot;PDPs&quot;) to provide:<\/span><\/p>\r\n\r\n<ul>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Delivery of Orders<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Completion of Tasks<\/span><\/p>\r\n\t<\/li>\r\n<\/ul>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif">at select localities of serviceable cities across India (&quot;Delivery Services&quot;). <strong>Ate All&nbsp;<\/strong>acts as an intermediary between Merchants and Buyers and\/or PDPs and Buyers\/Merchants.<\/span><\/p>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif"><strong>6. PDPs<\/strong><\/span><\/p>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif">PDPs are individual entrepreneurs engaged with <strong>Ate All&nbsp;<\/strong>on a voluntary, non-exclusive, and principal-to-principal basis to provide pickup and delivery services and complete Tasks. PDPs are independent contractors, free to determine their work timings. <strong>Ate All&nbsp;<\/strong>does not exercise control over PDPs, and their relationship with <strong>Ate All&nbsp;<\/strong>is not that of an agent and principal or employee and employer.<\/span><\/p>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif"><strong>7. Service Fee<\/strong><\/span><\/p>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif">For pickup and delivery services and completing Tasks, PDPs may charge users (Buyers or Merchants) a service fee (inclusive of applicable taxes) determined by factors such as:<\/span><\/p>\r\n\r\n<ul>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Distance covered<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Time taken<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Demand for Delivery Services\/Tasks<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Real-time analysis of traffic and weather conditions<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Seasonal peaks<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Other parameters as may be determined from time to time<\/span><\/p>\r\n\t<\/li>\r\n<\/ul>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif"><strong>ACCOUNT REGISTRATION AND ELIGIBILITY<\/strong><\/span><\/p>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif"><strong>2.1 Access to the Platform<\/strong><\/span><\/p>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif">You may access the Platform by:<\/span><\/p>\r\n\r\n<ul>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Registering to create an account (&quot;<strong>Ate All&nbsp;<\/strong>Account&quot;) and becoming a member (&quot;Membership&quot;)<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Registering to join by logging into your account with certain third-party social networking sites (&quot;SNS&quot;) via our Platform<\/span><\/p>\r\n\t<\/li>\r\n<\/ul>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif"><strong>2.2 Third Party Accounts<\/strong><\/span><\/p>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif">By linking your <strong>Ate All&nbsp;<\/strong>Account with Third Party Accounts, you:<\/span><\/p>\r\n\r\n<ul>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Represent that you are entitled to disclose your Third Party Account login information to us<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Grant us access to your Third Party Account, as permitted under the applicable terms and conditions<\/span><\/p>\r\n\t<\/li>\r\n<\/ul>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif"><strong>2.3 Eligibility<\/strong><\/span><\/p>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif">Persons who are &quot;incompetent to contract&quot; within the meaning of the Indian Contract Act, 1872, including minors, un-discharged insolvents, etc., are not eligible to use the Platform. style="font-family:Verdana,Geneva,sans-serif"><strong>Ate All&nbsp;<\/strong>may offer support services to Merchants and PDPs in respect of Order fulfillment, mode of payment, payment collection, call center support, and other ancillary services, pursuant to independent contracts executed between <strong>Ate All&nbsp;<\/strong>and the Merchants\/PDPs.<\/span><\/p>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif"><strong>4.3 Representations and Warranties<\/strong><\/span><\/p>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif"><strong>Ate All&nbsp;<\/strong>makes no representations or warranties as to the item-specifics of any Merchant or the specifics of the products or services proposed to be sold or offered to be sold or purchased responsible for any unsatisfactory or non-performance of services or breach of any contract entered into between the Buyers and Merchants, and between the Merchants\/Buyers and PDP on the content of the Platform without permission.<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Host, display, upload, download, modify, publish, transmit, update, or share any information that is unlawful, harmful, or infringes on the rights of others.<\/span><\/p>\r\n\t<\/li>\r\n<\/ul>\r\n\r\n<p><span or misleading statements<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Engaging in unauthorized access or hacking<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Probing, scanning, or testing the vulnerability of the Platform<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Reverse engineering or attempting to trace any information<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Making negative or denigrating statements about <strong>Ate All&nbsp;<\/strong><\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Imposing an unreasonable load on the Platform&#39;s infrastructure<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Forging headers or manipulating identifiers<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Pretending to represent someone else<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span PDPs.<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Delivery Surge charges may apply, determined by various factors.<\/span><\/p>\r\n\t<\/li>\r\n<\/ul>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif"><strong>Order Booking and Financial Terms<\/strong><\/span><\/p>\r\n\r\n<ul>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Orders are treated as confirmed upon successful booking.<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif"><strong>Ate All&nbsp;<\/strong>may contact Buyers to confirm Order All&nbsp;<\/strong>makes no representations or warranties as to the item-specifics of any Merchant or the specifics of the products or services proposed to be sold or offered to be sold or purchased responsible for any unsatisfactory or non-performance of services or breach of any contract entered into between the Buyers and Merchants, and between the Merchants\/Buyers and PDP on the PDPs.<\/span><\/p>\r\n\t<\/li>\r\n\t<li>\r\n\t<p><span style="font-family:Verdana,Geneva,sans-serif">Delivery Surge charges may apply, determined by various factors.<\/span><\/p>\r\n\t<\/li>\r\n<\/ul>\r\n\r\n<p><span style="font-family:Verdana,Geneva,sans-serif"><strong>Order Booking and Financial
